3. Using this website
You may use this site for lawful purposes only. You agree not to:
- Attempt to gain unauthorized access to the site, our systems, or other users’ data.
- Introduce malware, scrape the site in bulk, or interfere with its normal operation.
- Submit false, misleading, or unlawful information through our forms.
- Copy, resell, or republish site content without our written permission.
When you send us an inquiry, you agree that we may contact you about it. Our handling of personal information is described in our Privacy Policy.
4. Client agreements
A client relationship begins when both parties sign a Mutual Service Agreement and Scope of Work. Work outside the agreed scope requires written approval and may be billed separately. Timelines depend on you providing feedback, approvals, and materials on time, and we are not responsible for delays caused by late input.
5. Fees and payment
- Fees, billing schedule, and payment methods are stated in your Mutual Service Agreement and Scope of Work.
- Invoices are due by the date shown on the invoice. Unless your agreement says otherwise, invoices are due within 15 days of the invoice date.
- Late balances incur a 3% late fee on the overdue amount (or the maximum allowed by law, if lower), and we may pause work until the account is current.
- Monthly retainers renew automatically until canceled under Section 16.
- Fees are non-refundable once work has begun, except where your agreement states otherwise or the law requires it.
- You are responsible for any applicable taxes.
6. Client responsibilities
To do our best work, you agree to provide accurate information, timely approvals, and access to the accounts, assets, and tools we need. You confirm that you own or have the right to use all logos, photos, text, music, and other materials you give us, and that they do not infringe anyone else’s rights. You are responsible for the legal compliance of your products, offers, and claims, including any required disclosures.
7. Ad spend and platforms
Advertising budgets are paid to the ad platforms (such as Meta, Google, or TikTok) and are separate from our fees unless your agreement says otherwise. We are not responsible for platform policy changes, algorithm updates, account suspensions, ad rejections, outages, or changes in platform pricing. You remain responsible for complying with each platform’s terms.
8. No guarantee of results
Marketing outcomes depend on many factors outside our control, including your offer, pricing, market conditions, competition, and platform behavior. We work to deliver strong results, but we do not guarantee specific outcomes such as revenue, leads, followers, rankings, impressions, or return on ad spend. Past performance and examples on this site do not promise future results.
9. Intellectual property
Content on rebelteam.co, including our name, logo, text, graphics, and site design, belongs to REBEL Media & Marketing or its licensors and may not be used without permission.
Unless your agreement says otherwise, once you have paid in full, you own the final deliverables we create specifically for you. We keep ownership of our pre-existing tools, templates, processes, and know-how, and we grant you a license to use them as part of the deliverables. Third-party materials, such as stock images, fonts, and music, stay subject to their own licenses. Drafts, concepts, and unused work remain ours until paid for and approved.
10. Portfolio and publicity
Unless you tell us otherwise in writing, we may display the work we create for you, and your company name and logo, in our portfolio, case studies, and promotional materials. We will not publish confidential business data without your permission.
11. Confidentiality
Each party agrees to keep the other’s non-public business information confidential and to use it only for the purposes of the engagement. This does not apply to information that is public, already known to the recipient, independently developed, or required to be disclosed by law.
12. Third-party links and tools
Our site and services may link to or rely on third-party websites, software, and platforms. We do not control them and are not responsible for their content, availability, or practices. Your use of them is at your own risk and subject to their terms.
13. Disclaimers
THE WEBSITE AND OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE. NOTHING ON THIS SITE IS LEGAL, FINANCIAL, OR TAX ADVICE.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, REBEL MEDIA & MARKETING AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SITE OR OUR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
15. Indemnification
You agree to defend and hold harmless REBEL Media & Marketing from claims, damages, and expenses (including reasonable attorneys’ fees) arising from materials you provide, your products or services, your violation of these terms, or your violation of any law or third-party right.
16. Termination
Either party may end a service engagement with 30 days’ written notice unless your agreement sets a different term. We may suspend or end access to the site or services immediately if you breach these terms. You will pay for all work performed and expenses incurred through the termination date. Sections that by their nature should survive termination, including payment, intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification, will survive.
17. Governing law
These terms are governed by the laws of the State of Idaho, without regard to conflict-of-law rules. The parties agree to try to resolve disputes informally first. Any dispute not resolved informally will be brought in the state or federal courts located in Idaho, and you consent to their jurisdiction.
18. Changes to these terms
We may update these terms from time to time. The effective date at the top of this page shows the latest version. Continued use of the site or services after an update means you accept the revised terms. Changes to a signed client agreement require written consent from both parties.
